This Exhibition Services Agreement (“Agreement”) is entered into between [Alfa Expo] (“Exhibitor”) and [booth and space buyer] (attendance) as of [7th -20th June 2024].
Services Provided
In consideration of the fees set forth herein and subject to the terms and conditions of this Agreement, the Organizer shall provide the following services to the Exhibitor during the exhibition period:
- The purchased booth space is valid for 14 days and nights from June 6 to June 20, 2024.
- Given that this exhibition pertains to the oil, gas, and petrochemicals industry in AlfaNova Metaverse, it is imperative to refrain from incorporating content unrelated to this specific exhibition.
- The purchased space, being in the form of digital assets, will be temporally dated, thus invalidated upon the exhibition’s conclusion.
- Booths and purchased items, also digital assets, are transferred to the buyer’s personal panel. Upon the exhibition’s conclusion, these digital assets will revert to AlfaExpo’s wallet.
- All purchase-related information will be communicated to buyers via email in the form of an invoice.
- Upon completion of the purchase process, the GPS coordinates of the purchased space will be emailed to the buyer.
- AlfaExpo serves as the exclusive provider of the Metaverse exhibition platform. The accuracy of information uploaded to booths and guide avatars is the responsibility of the exhibitor.
- The parties are accountable for exchanges and transactions conducted within the Metaverse exhibition; AlfaExpo assumes no involvement in such activities.
- In the event of disputes among Metaverse exhibition participants, AlfaExpo is the designated authority to address such disputes.
- Business owners must adhere to all information provided to AlfaExpo. Unauthorized use of booth space based on provided information will result in the removal of access for the business owner and associated avatars. The booth will be managed by representatives of the business until the exhibition’s conclusion.
- Exhibitors are obligated to participate in the exhibition. Failure to participate or transfer ownership will result in AlfaExpo revoking access to the booth, which will then be managed by the booth guide avatar until the exhibition’s conclusion.
- The Organizer shall be responsible for providing services as detailed in Section 1 until the conclusion of the exhibition period.
- Any additional services not explicitly stated in this Agreement shall be subject to negotiation and agreement between the parties.
- The GPS coordinates provided to business owners will become invalid and inaccessible immediately after the exhibition’s conclusion.
- Exhibitors wishing to utilize the B2B hall must submit their request via email to [email protected]. Following verification by the AlfaExpo team, the request will be sent to the user’s email.
- After seeing the terms of the contract and confirming it, the attendance must deposit his purchase money to the electronic wallet number provided by the organizer to the attendance.
Contractual Issues
In light of the contract, the following issues are noted:
- Relevance of Exhibition Content:
The exhibition, centered on the oil, gas, and petrochemicals industry in AlfaNovaverse, necessitates strict adherence to the thematic focus. It is imperative to ensure that all content presented aligns with the specified industry to maintain the integrity and relevance of the exhibition.
- Validity of Purchased Space
The purchased space, provided in the form of digital assets, bears a temporal expiration. Upon the conclusion of the exhibition, the space becomes invalid, indicating a finite duration of use.
- GPS Coordination Delivery
It is stipulated that upon the completion of the purchase process, the GPS coordinates of the acquired space will be dispatched to the buyer’s designated email address. This ensures clarity and facilitates the buyer’s access to the purchased asset.
- Digital assets Transfer and Ownership
Booths and associated items are classified as digital assets, which are subsequently transferred to the buyer’s wallet upon purchase. Following the conclusion of the exhibition, these digital assets remain within the buyer’s possession, underscoring the permanence of ownership beyond the exhibition period.
These issues serve as critical components of the contractual framework, warranting clear delineation and adherence to ensure the smooth execution of the exhibition services agreement.
Services Provided
- In consideration of the fees set forth herein and subject to the terms and conditions of this Agreement, the Organizer shall provide the following services to the Exhibitor during the exhibition period:
- Provision of graphical standards as demonstrated in the website’s demo version. See Demo at alfaexpo.co
- Measurement of area and access to halls as depicted in the demo version of the website alfaexpo.co
- Presentation of a film in a specified format, to be provided by the sales team upon space and booth purchase.
- Display of environmental banners and standing banners.
- Allocation of a dedicated artificial intelligence avatar for each booth.
- Presentation of standard social media links belonging to each exhibiting company.
- Provision of a dedicated television for broadcasting booth information within the booth.
- Installation of four-sided environmental televisions within each hall.
- Deployment of animated artificial intelligence avatars in the external environment.
- Provision of visitor information retrieval links.
- Establishment of temporary seating and negotiation areas within booths, subject to availability in pre-built booths.
- Presentation of advertising balloons and stands in the external area.
Obligations of the attendance
- Technical and Ethical Conduct
The Attendance and all its employees must demonstrate technical proficiency and ethical conduct in their interactions with clients. In the event of unethical behavior, Alfa Expo (hereinafter referred to as “Organizer”) reserves the right to take the following actions:
1.1. Notification to the company manager.
1.2. Removal of harmful facilities causing damage.
1.3. Unilateral termination of the contract if previous warnings are disregarded.
- Assignment and Usage Restrictions
The Attendance is prohibited from assigning items in whole or in part or altering the designated usage specified in the contract.
- Contract Termination and Extension
Upon contract termination, the Attendance must surrender all items to the Organizer. Contract extension is subject to mutual consent, which may be granted for up to one year, provided that the conditions and fees are agreed upon and legally permitted by AlfaExpo.
- Non-Interference
The Attendance shall refrain from interfering with matters related to rent, exhibition space acquisition, or other business activities covered by the contract.
- Payment Seizure and Compensation
If the Attendance fails to fulfill its obligations or causes damages, the Organizer reserves the right to withhold payment without administrative or judicial procedures. Furthermore, the Attendance is liable for compensating any damages incurred by the Organizer or clients.
- Digital Asset Ownership
Digital assets purchased by the Attendance from AlfaExpo’s marketplace remain in their possession after the exhibition’s conclusion, constituting ownership by the Attendance.
- Exhibition Purpose Limitation
The rented space is solely intended for the presentation and display of oil, gas, and petrochemical industries, and any other usage is strictly prohibited.
- Service Availability
The Attendance is entitled to 24/7 access to Metaverse services. The Organizer bears no responsibility if the Attendance fails to utilize these services continuously.
- Brand Usage
The Attendance may utilize the leased item under their brand name without obstruction, provided it aligns with the desired brand’s specifications.
- Metaverse Insurance
The Attendance may opt for Metaverse insurance to rectify software and hardware defects, for which they bear responsibility unless caused by AlfaExpo’s interference.
- Financial Transactions
Financial transactions within the exhibition space must be conducted exclusively through AlfaExpo’s approved channels. Any unauthorized transactions are the sole responsibility of the involved parties.
- Restricted Usage
The Attendance may not utilize spaces beyond the rented area without prior authorization from AlfaExpo.
- Employee Responsibility
The Attendance is accountable for the efficiency of their employees, and AlfaExpo holds no responsibility for their evaluation.
- Insurance Obligation
The Attendance is responsible for securing Metaverse insurance or facing the consequences of events.
- Knowledge of Rental Terms
The Attendance acknowledges the quantity, quality, and location of the rented items.
- Non-Fulfillment Determination
The Organizer reserves the right to determine non-compliance with contract obligations and resulting damages.
- Supervisory Representative
A designated representative appointed by the Organizer shall oversee the Attendance’s obligations to ensure contract compliance.
- Ethical Conduct
The Attendance must maintain healthy and constructive interactions within AlfaExpo’s space, refraining from causing harm to other booths or businesses.
- Exhibition Participation
Participation in the exhibition is mandatory for the Attendance. Failure to participate will result in the removal of booth access and management by the AI avatar until the exhibition’s conclusion.
These obligations constitute essential components of the contractual agreement and must be adhered to by the Attendance for the duration of the contract.
Extraordinary Circumstances
In the event of force majeure or unforeseen circumstances rendering either party incapable of fulfilling their contractual obligations, the following procedures shall be observed:
- The affected party shall immediately notify the other party of the circumstances. Throughout this period, the affected party shall make every reasonable effort to fulfill their obligations to the best of their ability and with minimal delay.
- If the period of exemption extends beyond one month for either party, each party reserves the right to terminate the contract by issuing an official written notice.
- Should the organizer require access to the booth location for the advancement of their services, they shall notify the affected party in writing. Subsequently, the new booth link shall be updated within 48 hours. During this 48-hour period, the affected party is obligated to cooperate fully with the organizer.
Contract Termination Terms
- In the event of any breaches or the necessity to reclaim the leased premises, the organizer reserves the unilateral right to terminate the contract prior to its expiration date. The termination shall be effective upon the provision of a 1-day notice to the tenant to vacate the premises. The tenant shall have no right to contest this termination. In the event of damages, the tenant shall be liable for the calculated damages, which must be paid to the organizer.
- If the organizer determines that the tenant has transferred the subject matter of the contract to a third party, or has demonstrated negligence in fulfilling their obligations, or has refused to perform the subject matter of the contract for any reason, in order to mitigate damages to the organizer (in accordance with relevant regulations), the tenant shall have no right to lodge any objections.
